These Terms of Service ("Terms") govern your access to and use of the website located at doybcyber.com (the "Site") and any professional services provided by DOYB Technical Solutions, Inc. ("DOYB," "we," "our," or "us"), a Georgia corporation headquartered in Atlanta, Georgia.

By accessing the Site or engaging DOYB for services, you represent that you are at least 18 years of age and agree to be bound by these Terms. If you are accessing the Site on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree, do not use the Site or engage our services.

1.1 Permitted Use

1.2 Prohibited Conduct

2. Intellectual Property

2.1 DOYB Ownership

All content on the Site — including but not limited to text, written copy, graphics, icons, logos, page layouts, design elements, photographs, downloadable materials, and the compilation and arrangement of such content — is the proprietary property of DOYB Technical Solutions, Inc. or its licensors, and is protected by applicable copyright, trademark, trade secret, and intellectual property laws.

The DOYB name, logo, and the Ascend Framework name, methodology, assessment structure, deliverable formats, and associated materials are proprietary to DOYB Technical Solutions, Inc. No license or right to use these marks or materials is granted by these Terms or by your use of the Site.

2.2 Permitted Use of Content

You may print or save individual pages of the Site for your personal or internal business reference. You may not:

• Reproduce, republish, redistribute, sell, or license any Site content without DOYB's prior written consent
• Remove, alter, or obscure any copyright, trademark, or other proprietary notice

4. Professional Services

4.1 Engagement Terms

Professional services provided by DOYB — including but not limited to cybersecurity assessments, Ascend Framework engagements, compliance consulting, managed IT services, AI readiness advisory, vCIO/vCISO advisory, network infrastructure, and implementation services — are governed exclusively by the written Statement of Work, Master Services Agreement, or engagement letter executed between DOYB and the applicable client organization.

These Terms of Service apply to your use of the Site and do not constitute a professional services contract, proposal, or commitment by DOYB to provide any services.

4.2 No Advice via Website

Content published on the Site — including blog posts, guides, FAQ answers, webinar content, and case study summaries — is provided for general informational purposes only. It does not constitute professional cybersecurity, legal, compliance, financial, or technology advice and should not be relied upon as such. Organizations should engage DOYB directly for advice specific to their environment, compliance obligations, and risk profile. Every DOYB client engagement begins with a structured assessment of actual conditions — not assumptions from generic content.

4.3 Assessment Findings and Confidentiality

Assessment reports, findings, recommendations, and deliverables produced through DOYB client engagements are confidential to the client under the terms of the applicable engagement agreement. DOYB will not disclose or publish client-specific findings without prior written consent from the client organization.

4.4 Intellectual Property in Deliverables

Unless expressly stated otherwise in a written engagement agreement, the following IP ownership rules apply to professional service deliverables:

• Client-specific findings and reports: Upon full payment of fees, the client owns the specific findings, recommendations, and reports produced for that engagement.
• DOYB methodology, frameworks, and templates: DOYB retains all right, title, and interest in its proprietary methodologies, assessment frameworks (including the Ascend Framework), tools, templates, and know-how used to deliver the engagement. Client receives a license to use deliverables incorporating DOYB methodology for internal purposes only.
• Pre-existing IP: Each party retains ownership of intellectual property developed prior to or independently of the engagement.

5. Third-Party Services and Links

The Site integrates with and links to third-party platforms including HubSpot, Google Analytics, Google Maps, Microsoft Teams, and other services. DOYB provides these integrations for your convenience. Your use of third-party platforms is governed by their respective terms of service and privacy policies, over which DOYB has no control.

DOYB does not endorse, and is not responsible for, the accuracy, content, privacy practices, or availability of any linked third-party site or service. The inclusion of a link does not imply any affiliation, sponsorship, or approval by DOYB.

• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
• WARRANTIES AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT ON THE SITE
• WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

DOYB does not warrant that the general information on the Site is suitable for any specific business situation, compliance obligation, or security environment. All reliance on Site content is at your own risk.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

7.1 Exclusion of Consequential Damages. IN NO EVENT SHALL DOYB TECHNICAL SOLUTIONS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, COST OF SUBSTITUTE SERVICES, OR ANY OTHER ECONOMIC LOSS, EVEN IF DOYB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

7.2 Cap on Liability. TO THE EXTENT ANY LIABILITY IS FOUND TO EXIST, DOYB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR THESE TERMS — REGARDLESS OF THE FORM OF ACTION — SHALL NOT EXCEED ONE HUNDRED DOLLARS (USD $100.00). THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY.

7.3 Professional Engagements. For claims arising from professional service engagements (governed by a separate written agreement), liability limitations are defined in that agreement. In the absence of a specific contractual provision, DOYB's liability for a professional services engagement shall not exceed the fees paid by the client to DOYB during the twelve (12) months preceding the event giving rise to the claim.

7.4 Exceptions. Nothing in these Terms limits DOYB's liability for: (i) death or personal injury caused by DOYB's gross negligence or willful misconduct; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be excluded or limited by applicable law.

7.5 Essential Basis of Bargain. The parties acknowledge that the limitations of liability and disclaimers in these Terms reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between DOYB and you.

8. Indemnification

You agree to indemnify, defend, and hold harmless DOYB Technical Solutions, Inc. and its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to:

• Your use of or access to the Site in violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any content or information you submit through the Site that is inaccurate, unlawful, or harmful
• Your unauthorized use of DOYB's intellectual property

DOYB reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with DOYB's defense of such claims.

9. Governing Law, Jurisdiction, and Dispute Resolution

9.1 Governing Law

These Terms and any dispute arising from your use of the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles or choice of law rules.

9.2 Exclusive Jurisdiction

Any legal action or proceeding arising from or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Fulton County, Georgia. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on improper venue or inconvenient forum.

9.3 Dispute Resolution — Notice and Cure

Before filing any claim or legal action, the party asserting a claim must provide written notice to the other party describing the nature of the dispute and the relief sought. The parties agree to engage in good-faith negotiations for a period of 30 days following such notice before initiating formal proceedings. This requirement does not apply to requests for injunctive or emergency relief.

9.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE.

12.3 Waiver

DOYB's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of DOYB to be effective.

12.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without DOYB's prior written consent. DOYB may assign these Terms or any rights hereunder without restriction.

12.5 Force Majeure

DOYB shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond DOYB's reasonable control, including acts of God, natural disasters, pandemics, telecommunications outages, government actions, or third-party infrastructure failures.
